Overview
These Terms of Use, together with Apple's standard licensed-application agreement described below, form the End User License Agreement ("Terms") between you and Pallet for your use of the Pallet iOS application and related services (collectively, the "App"). Please read them carefully. If you do not agree, do not download, install, or use the App.
Acceptance of Terms; Eligibility
By downloading, installing, or using the App, you agree to be bound by these Terms. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
The App is not directed to children under 13, and you must be at least 13 years old (or the minimum age required in your jurisdiction) to use it. By using the App you represent that you meet this requirement and that you are legally able to enter into these Terms.
License to Use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on any Apple-branded device that you own or control, solely for your personal, non-commercial use, as permitted by the App Store Terms of Service and the Apple licensed-application agreement.
You may not, except as expressly permitted by applicable law: copy, modify, or create derivative works of the App; reverse engineer, decompile, or disassemble the App; rent, lease, lend, sell, redistribute, or sublicense the App; remove or alter any proprietary notices; or use the App in any way that violates these Terms. All rights not expressly granted to you are reserved by Pallet and its licensors.
Subscriptions & Billing
Pallet Pro. Some features of the App require a paid subscription to "Pallet Pro," which is offered as an auto-renewable subscription in the following plans:
- Monthly — $2.99 per month.
- Annual — $19.99 per year.
Prices are stated in U.S. dollars and may vary by region and over time. The price shown to you on the purchase screen at the time of purchase governs.
Billing through your Apple Account. Pallet Pro subscriptions are sold and billed through Apple. Payment is charged to your Apple Account at confirmation of purchase. Pallet does not process or receive your payment card details.
Auto-renewal. Your subscription automatically renews for the same period at the then-current price unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours prior to the end of the current period.
Manage or cancel. You can manage or cancel your subscription at any time in your Apple ID / App Store subscription settings (Settings → your name → Subscriptions, or App Store → account → Subscriptions). Cancellation takes effect at the end of the current billing period; you retain Pro access until then.
Refunds. Purchases are processed by Apple and are generally non-refundable except as required by applicable law or by Apple's then-current policies. Refund requests for App Store purchases are handled by Apple and can be submitted through Apple. Pallet does not control and cannot issue App Store refunds.
Changes to plans and pricing. We may add, change, or discontinue subscription plans or features and may change pricing. Where required, price changes affecting an existing subscription will be handled in accordance with Apple's rules, including any notice and consent steps Apple applies before a renewal at a higher price.
Free Tier
The App offers a free tier that lets you use core tracking functionality without a subscription. The free tier is subject to a lifetime cap on the number of packages you can add (across the life of your use of the App, not a per-period allowance). Once you reach the free-tier limit, you will need a Pallet Pro subscription to add additional packages. We may change the free-tier limits, features, and availability over time.
Acceptable Use
You agree not to misuse the App. In particular, you agree not to:
- Use the App for any unlawful purpose or in violation of any applicable law or regulation.
- Submit tracking numbers or other data that you have no right to track or that infringe the rights of others.
- Attempt to gain unauthorized access to, interfere with, or disrupt the App, our servers, or networks, including by scraping, automated querying at abusive rates, or circumventing rate limits or usage caps.
- Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures.
- Use the App to build or train a competing product or to resell access to carrier data.
Third-Party Carrier Data; No Guarantee of Delivery Estimates
The App tracks shipments using data supplied by third parties, including shipping carriers and tracking-data aggregators. This data originates with those third parties and is provided to you on an "as is" basis. Delivery dates, arrival windows, scan locations, and status information are estimates and may be incomplete, delayed, or inaccurate. Smart delivery windows and similar predictions are informational only.
Pallet does not control, ship, or deliver packages, and we do not guarantee the accuracy, completeness, or timeliness of any tracking information or any predicted delivery time. Do not rely on the App as the sole source of truth for time-sensitive decisions.
Disclaimer of Warranties
THE APP AND ALL CONTENT AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PALLET DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLET AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP — INCLUDING ANY LOSS RESULTING FROM RELIANCE ON DELIVERY ESTIMATES OR CARRIER DATA — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLET'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PALLET (VIA APPLE) FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Pallet and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the App, your violation of these Terms, or your violation of any law or the rights of a third party.
Apple-Specific Terms
The App is licensed, not sold, to you. Your license is subject to Apple's Licensed Application End User License Agreement (the Apple "standard EULA"), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/, which applies to your use of the App in addition to these Terms. To the extent these Terms conflict with the Apple standard EULA with respect to your use of the App, the Apple standard EULA governs that conflict.
You acknowledge that these Terms are between you and Pallet only, and not with Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims relating to the App, including product-liability, regulatory, or intellectual-property claims. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by an in-app notice. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
Termination
These Terms remain in effect until terminated. We may suspend or terminate your license and access to the App at any time if you breach these Terms or if we discontinue the App. You may terminate at any time by ceasing all use of the App and deleting it from your devices. Cancelling a subscription does not by itself delete the App. Sections that by their nature should survive termination — including license restrictions, disclaimers, limitation of liability, indemnification, and governing law — survive.
Governing Law
Pallet is operated by an individual sole proprietor. These Terms are governed by the laws of the United States and the State of New York — the developer's state of residence and principal place of business — without regard to its conflict-of-laws rules. Subject to applicable law, you agree that any dispute will be resolved in the state or federal courts located in that State, and you consent to their jurisdiction. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your place of residence.
